These Terms of Service (the “Terms”) constitute a legally binding agreement between you ("you," "your," or “User”) and LeaseGrid.ai ("LeaseGrid," "we," "us," or "our"). These Terms govern your access to and use of the LeaseGrid.ai website, software platform, mobile and web applications, APIs, documentation, and any related services, features, content, tools, or functionality (collectively, the “Service”).
By accessing, creating an account for, or using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and all policies referenced herein. If you do not agree, you must not access or use the Service.
LeaseGrid.ai is a software-as-a-service platform that enables users to generate lease documents and related contractual materials through automated document assembly based solely on information, selections, and inputs provided by Users. The Service operates through predefined templates, rules, and logic and does not involve human legal review.
LeaseGrid does not provide legal advice, legal opinions, tax advice, accounting advice, real estate brokerage services, or any other regulated or professional services. The Service is a general-purpose software tool intended to assist with document preparation only.
You acknowledge and agree that the Service is not a substitute for advice from a licensed attorney or other qualified professional. Laws governing leases and real estate transactions vary by jurisdiction and change frequently. You are solely responsible for ensuring compliance with applicable laws.

If you use the Service on behalf of an entity, you represent that you are authorized to accept these Terms on that entity's behalf, and "you" refers to both you and the entity.
Certain features of the Service require registration. You agree to provide accurate, complete, and current information and to keep your account information updated.
You are solely responsible for all activity occurring under your account, whether authorized or unauthorized. LeaseGrid may assume that any actions taken through your account were authorized by you.
You are responsible for maintaining the confidentiality of your login credentials. LeaseGrid is not responsible for losses arising from unauthorized access due to your failure to secure your account.
LeaseGrid reserves the right to suspend, restrict, or terminate access to the Service if it reasonably believes your account has been compromised, misused, or violates these Terms.
"User Content" means any data, information, text, selections, documents, or other materials submitted, uploaded, entered, or generated through your use of the Service.
You retain ownership of your User Content. Nothing in these Terms transfers ownership of User Content to LeaseGrid.
You grant LeaseGrid a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, process, reproduce, transmit, display, and otherwise use User Content solely for the purposes of operating, providing, maintaining, improving, securing, and supporting the Service.

LeaseGrid does not verify or validate User Content.
All documents generated by the Service are produced automatically without human review or legal validation.
LeaseGrid makes no representations or warranties that generated documents are legally valid, enforceable, complete, accurate, or appropriate for any particular purpose or jurisdiction.
You agree to review all generated documents carefully and consult qualified legal counsel prior to execution or reliance.
You assume all risks associated with using generated documents, including risks related to compliance, enforceability, interpretation, and unintended legal consequences.

LeaseGrid may investigate and take action against violations at its sole discretion.
Certain features require payment. Prices, billing intervals, and terms are disclosed at the time of purchase.
You authorize LeaseGrid to charge your payment method for all applicable fees, including recurring charges.
Fees are exclusive of taxes. You are responsible for all applicable taxes.
All payments are non-refundable except where required by law.
The Service, including software, templates, workflows, design, text, graphics, and trademarks, is owned by LeaseGrid or its licensors and is protected by intellectual property laws. No rights are granted except as expressly stated.
The Service may integrate with or rely on third-party services. LeaseGrid is not responsible for third-party services and disclaims liability arising from their use.
LeaseGrid uses commercially reasonable measures to protect User Content but does not guarantee absolute security. You acknowledge the inherent risks of transmitting data over the internet.
LeaseGrid may modify, suspend, or discontinue the Service or any feature at any time without liability.
These Terms remain effective until terminated. LeaseGrid may terminate or suspend access at any time for any reason, including violation of these Terms. Upon termination, your right to use the Service ceases immediately.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEASEGRID SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES. LEASEGRID'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO LEASEGRID IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless LeaseGrid from claims, damages, losses, and expenses arising from your use of the Service, User Content, or generated documents.
These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to conflict-of-law principles. Any legal action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located within the State of Texas, and you hereby consent to the personal jurisdiction and venue of such courts.
LeaseGrid may update these Terms at any time. Continued use of the Service after changes constitutes acceptance.
LeaseGrid is not liable for failures or delays caused by events beyond its reasonable control.
You may not assign these Terms without prior written consent. LeaseGrid may assign freely.
If any provision is held unenforceable, the remaining provisions remain in effect.
These Terms constitute the entire agreement between you and LeaseGrid regarding the Service.
